AgentPM End User License Agreement

This End User License Agreement (this "Agreement") is between AgentPM ("AgentPM," "we," "us," or "our") and the individual or entity that accesses, installs, configures, or uses AgentPM ("Customer," "you," or "your"). If you use AgentPM on behalf of an organization, you represent that you have authority to bind that organization and all users whose systems or accounts are connected to AgentPM.
1. The Service
AgentPM provides a software-as-a-service platform for collecting, indexing, analyzing, and displaying coding-agent activity, including activity from supported tools such as Claude Code, Codex, Cursor, and Grok. The service includes the hosted AgentPM web application, local collection agent, APIs, generated insights, search, telemetry, documentation, and related software or services (collectively, the "Service").
AgentPM is currently an early-stage and beta product. Features, collection behavior, analysis, data structures, and availability may change over time.
2. Agreement To Terms
By creating an account, joining an organization, installing or running the local agent, configuring monitored directories, accepting an invite, accessing the Service, or using any AgentPM feature, you agree to this Agreement.
An organization administrator may accept this Agreement and deploy or configure AgentPM on behalf of the organization and its monitored users. Each user who joins or uses an AgentPM organization also agrees to this Agreement.
3. Account And Organization Administration
You are responsible for all activity under your account and organization. Organization administrators are responsible for configuring users, monitored systems, permissions, install codes, monitored home directories, and agent access.
You represent and warrant that you have all rights, permissions, consents, notices, and authorizations required to install AgentPM, monitor systems or directories, collect and upload Customer Data, invite users, and permit AgentPM to process Customer Data as described in this Agreement and our Privacy Policy.
4. License And Access
Subject to this Agreement, AgentPM grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the applicable subscription, trial, beta, or evaluation period.
You may not copy, modify, reverse engineer, decompile, resell, sublicense, benchmark for publication, interfere with, abuse, overload, bypass security controls of, or use the Service to compete with AgentPM, except where applicable law prohibits these restrictions.
5. Customer Data
"Customer Data" means data, content, files, logs, metadata, prompts, responses, tool calls, shell commands, terminal output, error output, file paths, working directories, git metadata, model names, token usage, local usernames, hostnames, source snippets, generated artifacts, search queries, telemetry, and other information submitted to, collected by, uploaded to, generated through, or processed by the Service from your accounts, agents, monitored directories, or users.
You retain ownership of Customer Data. You grant AgentPM a worldwide, non-exclusive, royalty-free license to host, copy, transmit, store, process, analyze, display, create derivative works from, and otherwise use Customer Data to provide, secure, debug, support, maintain, improve, develop, and operate the Service and related products and services.
AgentPM may use Customer Data and derived data to improve the Service, evaluate and improve models, develop features, perform analytics, generate benchmarks, improve search and retrieval quality, detect abuse, secure the Service, and create aggregated, anonymized, or de-identified outputs. AgentPM is not currently training foundation models on Customer Data, but reserves the right to use Customer Data for model evaluation, product improvement, and future model-related development unless prohibited by a separate written agreement.
6. Local Collection
The local AgentPM collector runs on systems you configure and collects data from directories and files it is permitted to access. This may include coding-agent session files, prompts, responses, tool calls, tool inputs and outputs, shell commands, terminal output, local paths, project metadata, git activity, model metadata, timestamps, and other data contained in supported agent session files.
You control which machines, accounts, home directories, and paths are made available to the collector. If you grant the collector access to a directory or system, you authorize AgentPM to collect and process supported data available from that location.
The local collector uses signing keys and other configuration files. You are responsible for protecting systems on which the collector is installed and for removing or disabling the collector when monitoring is no longer authorized.
7. Sensitive And Regulated Data
You must not submit, upload, expose, or permit AgentPM to collect sensitive or regulated data unless you have obtained AgentPM's prior written approval or a separate written agreement that expressly permits that data. This includes protected health information, payment card data, government identifiers, children's data, biometric data, export-controlled data, production secrets, passwords, private keys, security credentials, highly sensitive customer data, confidential third-party code you are not authorized to process, and any data requiring special legal, regulatory, or contractual handling.
You are solely responsible for preventing sensitive data from being collected, promptly deleting or requesting deletion of data that should not have been uploaded, rotating any credentials or secrets exposed through the Service, and notifying affected parties when required.
AgentPM may flag, quarantine, remove, restrict, suspend processing of, or refuse to process data that AgentPM believes may be sensitive, unlawful, infringing, harmful, dangerous, or in breach of this Agreement.
8. AI Providers And Third-Party Services
AgentPM may send Customer Data, including transcript-derived content, prompts, responses, metadata, and derived excerpts, to third-party service providers and AI providers such as OpenAI or similar providers to generate insights, keyframes, coaching, classifications, summaries, search improvements, and related functionality.
AgentPM may add options in the future to disable certain AI processing, use customer-provided model keys, use alternative providers, or support enterprise-specific subprocessors. Unless a separate written agreement states otherwise, use of the Service authorizes AgentPM to use its subprocessors and service providers to process Customer Data.
9. Search, Telemetry, And Operational Data
AgentPM may collect and retain telemetry, search queries, usage events, access logs, identifiers, user email addresses, user IDs, organization identifiers, agent IDs, request metadata, opened-result events, performance metrics, and operational logs to operate, secure, debug, support, improve, and evaluate the Service.
Telemetry may include Customer Data when it contains or is derived from user activity, search queries, or Service usage. AgentPM may treat telemetry as operational data for security, support, analytics, and product improvement purposes, while also honoring applicable deletion or purge requests as described in this Agreement and the Privacy Policy.
10. Deletion, Purge, And Retention
Customers are responsible for deleting unwanted conversations, disconnecting agents, uninstalling collectors, removing monitored directories, and requesting purge when appropriate.
When a conversation is deleted through the Service, AgentPM will remove the stored data associated with that conversation from active serving systems, including conversation parquet artifacts, indexes, searchable views, generated insights, and related derived artifacts, subject to technical limits, backups, legal holds, security logs, audit records, and aggregated, anonymized, or de-identified data.
When an agent is purged, AgentPM will remove the agent's stored collection artifacts, mappings, checkpoints, parsed conversation data, and index entries from active systems, subject to technical limits, backups, legal holds, security logs, audit records, and aggregated, anonymized, or de-identified data.
Deletion may not immediately remove data from encrypted backups, disaster recovery copies, audit logs, security logs, telemetry, previously generated aggregated or de-identified outputs, or records we are legally required or permitted to retain. We may retain deletion records or tombstones to prevent deleted content from being reprocessed.
11. Customer Obligations
You are solely responsible for:
- obtaining all permissions, notices, consents, and legal bases required for monitoring, collection, and processing;
- configuring monitored systems, accounts, directories, install codes, and organization mappings;
- ensuring users understand what AgentPM collects;
- complying with employment, privacy, confidentiality, security, procurement, export, and industry-specific laws and agreements;
- ensuring you have rights to upload and process source code, logs, agent sessions, and third-party data;
- reviewing generated insights before relying on them;
- deleting unwanted data and rotating exposed credentials; and
- maintaining the security of your systems, accounts, and local agent installations.
12. Security
AgentPM uses commercially reasonable technical and organizational measures designed to protect the Service. Current controls may include signed agent uploads, authentication, organization access controls, encryption in transit, local private keys that are not intentionally uploaded, and owner-restricted local agent files.
AgentPM does not currently represent that it is SOC 2 certified, HIPAA compliant, PCI compliant, FedRAMP authorized, or certified under any specific security framework. Any future security commitments, audit reports, incident notice terms, data residency commitments, service levels, or compliance obligations must be stated in a separate written agreement.
13. Beta, Accuracy, And No Professional Advice
The Service, including generated insights, coaching, search results, risk flags, summaries, classifications, and analytics, may be incomplete, inaccurate, delayed, or wrong. You are responsible for human review and independent verification.
AgentPM is not a legal, compliance, security, HR, employment-decision, productivity-surveillance, or professional-advice system. You must not rely on AgentPM as the sole basis for employment actions, legal conclusions, compliance determinations, security decisions, financial decisions, or other high-impact decisions.
14. Suspension And Enforcement
AgentPM may suspend, limit, block, quarantine, remove data from, or terminate access to the Service if AgentPM believes that you or your users have violated this Agreement, failed to pay amounts due, created a security risk, misused the Service, uploaded unlawful or sensitive data, exceeded reasonable usage limits, interfered with the Service, reverse engineered the Service, exposed credentials, infringed rights, or created risk to AgentPM, customers, users, third parties, or the Service.
15. Fees And Payment
Fees, billing terms, usage limits, taxes, renewals, and cancellation terms will be described in an order form, online checkout, invoice, or other written ordering document. Unless otherwise stated, fees are non-refundable and payable when due.
16. Confidentiality
Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood as confidential. The receiving party will use reasonable care to protect confidential information and will use it only to perform under this Agreement, except where disclosure is required by law or permitted by this Agreement.
Customer Data is Customer confidential information, subject to the use rights, processing rights, telemetry rights, deletion terms, and other rights granted to AgentPM under this Agreement and applicable written agreements.
17. Feedback
If you provide feedback, suggestions, ideas, bug reports, or feature requests, you grant AgentPM a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
18. Intellectual Property
AgentPM and its licensors retain all rights, title, and interest in the Service, software, models, workflows, interfaces, documentation, analytics, know-how, and related technology. No rights are granted except as expressly stated in this Agreement.
19. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." AgentPM disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and error-free operation.
20. Limitation Of Liability
To the maximum extent permitted by law, AgentPM will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, loss of goodwill, business interruption, security incidents caused by Customer systems, exposed credentials, or unauthorized collection caused by Customer configuration.
AgentPM's total liability for all claims relating to the Service or this Agreement will not exceed the greater of (a) amounts paid by Customer to AgentPM for the Service during the twelve months before the event giving rise to liability or (b) one hundred dollars ($100).
Some jurisdictions do not allow certain exclusions or limitations. In those cases, the limitations apply to the fullest extent permitted by law.
21. Indemnification
You will defend, indemnify, and hold harmless AgentPM and its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to Customer Data, your systems, your users, your breach of this Agreement, your violation of law, your failure to obtain required rights or consents, sensitive data uploaded to the Service, or your use of the Service.
22. Privacy Policy, DPA, Enterprise Terms, And Order Forms
AgentPM's Privacy Policy describes personal data practices. A data processing addendum, security addendum, service level agreement, business associate agreement, retention schedule, subprocessor terms, order form, enterprise agreement, or other written agreement may apply if separately executed by AgentPM.
If a signed enterprise agreement, DPA, BAA, security addendum, SLA, order form, or other written agreement expressly conflicts with this Agreement, that written agreement controls for the conflicting subject matter.
23. Termination
You may stop using the Service at any time. AgentPM may terminate or suspend this Agreement or your access as described above. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive will survive, including Customer obligations, use rights for retained data, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, deletion and retention terms, and dispute provisions.
24. Governing Law And Disputes
This Agreement is governed by the laws of the State of California, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in California, unless a separate written agreement states otherwise.
25. Changes
AgentPM may update this Agreement from time to time. Material changes will be effective when posted or otherwise provided, unless a later effective date is stated. Continued use of the Service after changes become effective constitutes acceptance of the updated Agreement.
